Terms of Service

1. Acceptance of Terms

By accessing the Rodiax Innovations website (“Site”) or using our products and services (“Services”), you agree to be bound by these Terms of Service. If you do not agree, please do not use the Site or Services.

These terms are governed by the laws of India and the Indian Contract Act, 1872.

2. Description of Services

Rodiax Innovations provides industrial sensing hardware (Vibranto LF1) and analysis software (Rodiax Data Studio) for vibration monitoring and predictive maintenance. Specific features and pricing are described on our product and pricing pages.

3. User Accounts

To use certain features, you must create an account. You agree to:

  • Provide accurate and current information
  • Keep your password confidential
  • Notify us immediately of any unauthorized account access
  • Accept responsibility for activity under your account

4. Licenses and Subscriptions

Rodiax Data Studio is licensed, not sold. Your specific license terms (trial, annual subscription, or perpetual) are documented in your purchase agreement and apply to the use of the software.

Subscription licenses automatically renew unless cancelled before the renewal date. Perpetual licenses do not expire but require active support contracts for updates.

5. Payment Terms

Payment terms are documented per order. Online payments are processed via Razorpay subject to their terms. Direct bank transfer payments are processed within 1 business day of receipt. All payments are inclusive of applicable GST.

6. Refunds

Annual subscriptions are refundable on a pro-rata basis within 30 days of payment, less any usage. Perpetual licenses are non-refundable once installation is verified. Specific refund terms are documented in your purchase agreement.

7. Intellectual Property

All software, hardware designs, documentation, branding, and content on the Site and in the Services are the intellectual property of Rodiax Innovations LLP and are protected under Indian and international intellectual property laws. You may not copy, distribute, reverse-engineer, or modify our software except as expressly permitted.

8. Limitation of Liability

To the maximum extent permitted by law, Rodiax Innovations LLP shall not be liable for indirect, incidental, consequential, or punitive damages arising from your use of the Services. Our total liability for any claim shall not exceed the fees you paid for the Services in the 12 months preceding the claim.

9. Disclaimer of Warranties

The Services are provided “as is” and “as available”. Rodiax makes no warranties, express or implied, regarding accuracy, reliability, or fitness for a particular purpose. Vibration analysis results are reference information and should be interpreted by qualified engineers.

10. Termination

We may suspend or terminate your account for material breach of these terms, non-payment, or fraudulent use. Upon termination, your license to use the Services ends, but these terms continue to apply to any past use.

11. Governing Law

These terms are governed by Indian law. Any disputes shall be subject to the exclusive jurisdiction of the courts at Kochi, Kerala, India.

12. Changes to Terms

We may update these terms from time to time. Material changes will be communicated via email and on the Site. Continued use of the Services after changes constitutes acceptance.
